Global sports platform Fanatics has announced the acquisition of Water Street Labs and CX Clearinghouse, subsidiaries of the American financial services company BGC Group, obtaining licenses for a Designated Contract Market (DCM) and Derivatives Clearing Organization (DCO) approved by the U.S. Commodity Futures Trading Commission (CFTC). This move aims to establish its own compliant prediction market platform.
The transaction amount has not been disclosed, and both parties expect to complete the deal after regulatory procedures are finalized. Fanatics will utilize this infrastructure to launch its own prediction market exchange, allowing users to trade various event contracts directly while expanding its product layout under Fanatics Markets. BGC will collaborate with Fanatics to develop new data products that combine prediction markets with traditional financial markets.
Fanatics has been known for its sports merchandise, player cards, collectibles, and sports betting business. In recent years, it has continued to expand its territory through acquisitions of Topps, and the development of Fanatics Sportsbook and Fanatics Collect. This entry into the prediction market signifies the company's intention to integrate fan economy with financial trading, aiming to provide users with a more comprehensive service experience while watching games, collecting cards, betting, and trading event contracts.
The trading mechanism of prediction markets differs from traditional sports betting. Users trade on the probability of events occurring, and the platform completes transactions through a bilateral matching method similar to financial markets, responsible for providing market liquidity. After obtaining DCM and DCO licenses, Fanatics can also complete trading and settlement processes independently, reducing reliance on external infrastructure.
In the past two years, the U.S. prediction market has grown rapidly, with platforms like Kalshi, Polymarket, and PredictIt expanding their businesses, attracting large enterprises to invest in related markets. After the completion of this acquisition, Fanatics will directly enter the competition, challenging existing players in the sports, political, economic, and other event contract markets.
By choosing to acquire an already regulated exchange, Fanatics can significantly shorten the time to enter the market. In recent years, players like Polymarket and PredictIt have also accelerated their U.S. market layout through acquisitions or obtaining compliant exchange qualifications, indicating that regulatory licenses have become an important threshold for competition in the prediction market.
The prediction market has developed rapidly in recent years while facing regulatory challenges. At the federal level in the U.S., the CFTC is responsible for overseeing event contract trading, while several state governments argue that some prediction market products are close to sports gambling, leading to disputes over regulatory authority.
Fanatics' choice to enter through a compliant exchange can reduce regulatory uncertainty and help attract institutional investors and large partners.
